Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at regolithdigital.com (the "Website") operated by Regolith Digital LLC ("Regolith Digital," "we," "us," or "our"). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website.

2. Scope of These Terms

These Terms apply to general use of the Website and any informational interactions with Regolith Digital. Engagement of our professional services is governed by a separate written Services Agreement entered into between Regolith Digital and the client. In the event of any conflict between these Terms and an executed Services Agreement, the Services Agreement shall control with respect to that engagement.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use the Website. By using the Website, you represent and warrant that you meet these requirements.

4. Description of Services

Regolith Digital provides professional consulting and management services, including but not limited to:

  • Business management consulting for ecommerce brands, YouTube creators, and digital influencers;
  • Online marketing strategy and execution;
  • Digital advertising campaign management (e.g., Google, Meta, TikTok, YouTube);
  • Creator and influencer management;
  • Ecommerce growth and conversion optimization;
  • Analytics, reporting, and related advisory services.

Specific deliverables, fees, payment terms, and timelines are set out in individual Services Agreements with each client.

5. Fees and Payment

Fees for services are set out in the applicable Services Agreement or accompanying Statement of Work. Unless otherwise agreed in writing:

  • Invoices are payable in U.S. Dollars (USD);
  • Payment terms are net 14 days from the invoice date;
  • Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law;
  • All fees are exclusive of applicable taxes, which are the responsibility of the client;
  • Third-party costs (such as ad spend, platform fees, software subscriptions) are typically the responsibility of the client and may be billed at cost or pass-through.

6. Refund and Cancellation Policy

As Regolith Digital provides professional services, refund and cancellation terms are governed by each client's Services Agreement. In general:

  • Completed work is non-refundable once delivered and accepted;
  • Unused retainers may be refunded on a pro-rata basis if a Services Agreement is terminated in accordance with its termination provisions;
  • Third-party costs already incurred or committed (e.g., ad spend) are non-refundable;
  • Cancellation generally requires written notice as specified in the applicable Services Agreement (commonly 30 days).

7. Intellectual Property

7.1 Website Content

The Website and its original content, features, and functionality are owned by Regolith Digital LLC and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Website without our prior written consent, except as permitted by applicable law.

7.2 Deliverables

Ownership of work product created in the course of providing services is governed by the applicable Services Agreement. Typically, ownership of final deliverables transfers to the client upon full payment, while Regolith Digital retains ownership of its pre-existing tools, methodologies, and know-how.

8. Acceptable Use

Your use of the Website is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. You may not use the Website or our services for any unlawful, fraudulent, or harmful purpose.

9. Privacy

Your use of the Website is also subject to our Privacy Policy, which describes how we collect, use, and protect personal information.

10. Disclaimers

The Website is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by applicable law, Regolith Digital disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that:

  • The Website will be uninterrupted, error-free, or secure;
  • Any specific business or marketing results will be achieved;
  • Information on the Website is complete, accurate, or current at all times.

Performance of digital advertising and marketing campaigns depends on numerous factors outside of our control, including third-party platform policies, market conditions, and client cooperation. Past performance is not indicative of future results.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Regolith Digital LLC, its officers, members, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of the Website or our services, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or in connection with the Website shall not exceed one hundred U.S. dollars (USD $100). Liability arising under a Services Agreement is governed by the limitations set out in that Agreement.

12. Indemnification

You agree to indemnify, defend, and hold harmless Regolith Digital LLC and its officers, members, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Website;
  • Your violation of these Terms;
  • Your violation of any third-party right, including intellectual property rights;
  • Any unlawful or fraudulent activity conducted through your use of the Website.

13. Third-Party Services

The Website and our services may interact with or reference third-party platforms, tools, and services (such as advertising networks, analytics providers, and payment processors). Such third parties operate independently and have their own terms and privacy policies. Regolith Digital is not responsible for the practices, content, or availability of any third-party services.

14. Termination

We reserve the right to suspend or terminate your access to the Website at any time, with or without notice, for any reason, including violation of these Terms. Termination of these Terms does not affect any rights or obligations that accrued prior to termination.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of such courts.

Nothing in this section limits any rights you may have under mandatory consumer protection laws of your jurisdiction.

16. Compliance with Laws

You agree to comply with all applicable local, state, federal, and international laws and regulations in connection with your use of the Website and our services, including, where applicable, anti-money-laundering, sanctions, export control, anti-bribery, and data protection laws.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. The most current version will always be posted on this page with an updated "Last Updated" date. Continued use of the Website after changes are posted constitutes acceptance of the revised Terms.

18. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, and any applicable Services Agreement, constitute the entire agreement between you and Regolith Digital with respect to your use of the Website.
